Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and JG INTL TRADE LLC, an Arizona limited liability company doing business as Catalora ("Catalora", "we"), governing your access to and use of the Catalora website, applications, and services (the "Services").

1. Eligibility & invite-only access

The Services are offered on an invitation-only basis to vetted Amazon sellers. You must be at least 18 years old, authorized to bind your business, and in good standing with Amazon.

2. Accounts and authorization

You authorize Catalora to access your Amazon Selling Partner account through the official Selling Partner API via Login with Amazon OAuth. You are responsible for the accuracy of information you provide and for safeguarding your account credentials.

3. Acceptable use

You agree not to misuse the Services, including by violating Amazon's policies, attempting to access data you are not authorized to access, reverse-engineering the Services, or interfering with their operation. See our Acceptable Use Policy.

4. Fees and billing

Paid plans are billed in advance. Fees are non-refundable except as set out in our Refund Policy. We may change pricing on 30 days' notice.

5. Intellectual property

Catalora and its licensors retain all right, title, and interest in the Services. You retain ownership of your content. You grant Catalora a limited license to process your content solely to provide the Services.

6. Confidentiality and data protection

We process personal data in accordance with our Privacy Policy and, where applicable, our Data Processing Addendum.

7. Disclaimers

The Services are provided "as is" without warranties of any kind. We do not warrant that the Services will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, Catalora's aggregate liability arising out of or related to the Services will not exceed the fees paid by you to Catalora in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Indemnification

You will defend and indemnify Catalora against claims arising from your misuse of the Services or breach of these Terms.

10. Termination

We may suspend or terminate your access for breach of these Terms or to comply with law. You may cancel at any time. Sections that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Exclusive jurisdiction lies in the state and federal courts located in Maricopa County, Arizona.

12. Amazon trademarks

Catalora is independent and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. Amazon, the Amazon logo, and Selling Partner API are trademarks of Amazon.com, Inc. or its affiliates.

13. Changes

We may update these Terms. Material changes will be communicated via email or in-product notice. Continued use after changes constitutes acceptance.
